Terms of Service
These terms govern your use of the Client Portal and other Giraldo Agency services. By using the Client Portal, you agree to these terms.
1. Description of Service
The Client Portal is a tool where we upload marketing content on your behalf for you to review, request changes to, or approve, and where, once approved, it can be published to your connected Instagram account.
2. Accounts
Access to the Client Portal is by invitation from Giraldo Agency. You are responsible for keeping your password secure and for all activity under your account.
3. Client Content
You retain ownership of all brand content (logos, product photos, business information) you share with us. You grant us a limited license to use, edit, and publish that content solely to provide the service you signed up for.
You represent that you hold the necessary rights to any content you upload or ask us to publish, and that it does not infringe third-party rights or violate Meta's policies.
4. Review and Approval Workflow
All new content starts as a draft. Nothing is published or scheduled until you (or your designated client administrator) explicitly approve it in the portal.
If content is sent for review and you don't respond, it auto-approves after 48 hours by default; this window is configurable per client up to a maximum of 5 days. If you request changes, the timer resets once the content is resubmitted for review.
5. Instagram/Meta Integration
If you connect your Instagram account, you authorize us to publish content you've approved to it, using Meta's official Graph API. We only publish content that has gone through your explicit approval in the portal.
You can disconnect your Instagram account at any time, either from the portal or by revoking access in your Meta/Instagram settings. Use of this integration is also subject to Meta's Platform Terms.
6. Acceptable Use
You must not upload or ask us to publish content that is illegal, deceptive, defamatory, or that violates the policies of the platform it will be published to (for example, Instagram's Community Guidelines).
7. Fees
Service fees are agreed separately in your contract or proposal with Giraldo Agency and are not managed within the Client Portal.
8. Termination
Either party may terminate Client Portal access at any time. After termination, you may request deletion of your data as described in the Privacy Policy.
9. Warranties and Liability
The service is provided "as is". We do not guarantee that an Instagram publish will be free of failures attributable to Meta's API or changing platform policies. To the extent permitted by law, our liability is limited to the fees paid for the service in the relevant month.

We may update these terms from time to time. We will post the last-updated date at the top of this page.
